07:35 AM EDT, 07/03/2024 (MT Newswires) -- Nano Dimension ( NNDM ) has agreed to acquire Desktop Metal ( DM ) , in an all-cash deal for between $135 million and $183 million, the companies said Wednesday.
According to the companies, Nano will pay $5.50 per share, subject to adjustments to as low as $4.07 per share, depending on transaction expenses and the need for a $20 million loan facility in case the closing extends into 2025.
The transaction is subject to closing conditions, including the approval of Desktop Metal's ( DM ) shareholders and regulatory approvals.
The two companies say they have complementary additive manufacturing capabilities. Nano provides 3D-printed electronics and polymer, ceramic, and metal applications, while Desktop Metal ( DM ) focuses on industrial-scale applications of metal and polymer.
Shares of Nano Dimension ( NNDM ) were flat in recent premarket activity while Desktop Metal ( DM ) shares were up more than 6%.
