AdTheorent to Be Bought by Cadent

08:42 AM EDT, 04/01/2024 (MT Newswires) -- AdTheorent Holding ( ADTH ) has agreed to be acquired by television advertising services company Cadent for about $324 million, or $3.21 per share in cash, the companies said Monday.

The companies said the deal includes a 33-day "go shop" period, expiring at 11:59 pm ET on May 4, for AdTheorent ( ADTH ) to seek alternative acquisition offers.

Royal Bank of Canada is providing full debt financing for the deal, which will likely close by Q3 and lead to AdTheorent ( ADTH ) becoming a privately held company, the companies said.

AdTheorent's ( ADTH ) shares were up nearly 4.4% in recent Monday premarket activity.
