Advanced Energy Industries Prices $1 Billion Senior Notes Offering

04:01 AM EDT, 05/14/2026 (MT Newswires) -- Advanced Energy Industries ( AEIS ) priced a private offering of $1 billion total principal amount of 0% convertible senior notes due 2031, the company said late Wednesday.

The firm has provided a 13-day option to the initial purchasers to acquire up to an additional $150 million total principal amount of the notes, it said.

The offering is expected to close on Monday, according to the company.

Advanced Energy said it expects roughly $980.8 million in net proceeds, adding that it plans to use $60 million from the proceeds to pay for capped call transactions, to pay roughly $442.4 million to issue about 1.98 million of its common shares to exchange them for roughly $438.3 million total principal amount of its previously issued 2.50% senior convertible notes due 2028, while remainder proceeds for general corporate requirements.
