American Gridwork Partners Acquires PMT Site to Accelerate Modernization of American’s National Grid Infrastructure Network
Nov 8, 2025 5:33 AM

NASHVILLE, Tenn.--(BUSINESS WIRE)--

American Gridwork Partners (AGP), a Legacy Holdings vehicle dedicated to modernizing America’s sub-regional and last-mile energy, water, and data infrastructure grids, today announced its acquisition of PMT Site, a leading Nashville-based provider of underground utility and site infrastructure services. This strategic transaction marks the launch of AGP’s year-long effort to identify the nation’s most capable infrastructure service providers and form a scalable, agile, and coordinated networked platform for the nation’s infrastructure rebuild and repair renaissance.

PMT Site, founded by Phil Terhaar, has rapidly established itself as a leader in Tennessee's infrastructure sector, specializing in high-quality underground utility installations, power and water upgrades, and site preparation for major mixed-use developments. Under the terms of the agreement, Mr. Terhaar will remain as CEO of PMT, with the company retaining its local leadership, brand, and operational autonomy while benefiting from AGP's shared resources, growth capital, and national platform.

“This partnership marks an exciting new chapter for PMT Site. Together, we’re advancing our shared commitment to improving the reliability and resilience of the grid, beginning here in our local community, throughout the Tennessee Valley, and extending across the country,” said Phil Terhaar, Founder and CEO of PMT Site. “Joining AGP allows us to keep our identity, customer relationships, and regional capabilities while benefiting from a national network that accelerates our impact across the most critical infrastructure arenas.”

Amid decades of underinvestment and surging demand driven by electrification and data growth, America's sub-grid layer – the local underground networks of power, water, and data that connect homes, data centers, and industries to the larger grid – is ripe for modernization and improvement.

The acquisition cements AGP’s effort to establish a networked delivery platform for the nation’s grid—a modern Construction-as-a-Service model designed to enable scalable, coordinated modernization of power, water, and data infrastructure. By connecting leading regional technical expertise into one national delivery network and integrating local, family-owned specialists through shared processes, technology, and project execution, AGP will be capable of delivering critical infrastructure upgrades for asset owners, utilities, developers, and hyperscalers alike.

“PMT represents the local, specialized expertise that America’s grid deeply relies on,” said Grant E. Stark, CEO of AGP Southeast and Partner at Legacy Holdings. “They’re rooted in the community, proven in the field, and stand ready to scale the heavy lifting required for this multi-decade national rebuild.”

Anchored by PMT and supported by a vetted pipeline of over a dozen prospective partners, AGP is now positioned to accelerate its strategy by acquiring additional regionally dominant, orchestrator-focused, and family-owned contractors to join its networked delivery platform for the grid. AGP’s platform approach will enable coordinated execution of the multi-trillion-dollar infrastructure work required over the next decade to modernize America’s transmission, distribution, and underground systems, work essential to support artificial intelligence, reliable energy, and the Fourth Industrial Revolution.

“We’re building the connective infrastructure for the modern economy,” said Benjamin Krall, Co-Founder and Managing Partner of Legacy Holdings. “AGP’s networked delivery platform unites America’s best regional contractors into a coordinated system capable of modernizing the grid from the ground up. This isn’t a bet on a trend, it’s an investment in the nation’s most urgent rebuild.”

AGP partners with profitable, regionally dominant businesses in underground utilities, power distribution, site infrastructure, and grid resiliency to deliver coordinated modernization work at a national scale. About PMT Site

PMT Site is a Nashville-based leader in underground utility and site infrastructure contracting, delivering high-quality services for power, water, and site readiness projects across Middle Tennessee and the Southeast.

About Legacy Holdings

Legacy Holdings is a team of experienced operators pioneering a new succession model for America’s essential business owners. Founded by Benjamin Krall and Daniel Schmerin, the firm acquires profitable, family-owned legacy businesses that aren’t for sale and bundles them by category into hyper-local and regional special-purpose vehicles (SPVs). Its model keeps original owners in place, centralizes back-office operations, and scales through shared synergies in labor, logistics, insurance, software, and people.

Legacy Holdings is a holding company that acquires and grows off-market essential businesses through regional permanent capital vehicles rather than a traditional fund model. Founded by Benjamin Krall and Daniel Schmerin, the firm’s strategy is to preserve founder legacies, provide long-term growth capital, and create regional networks of companies positioned for generational success. Managed locally by the original leadership teams, funded with local family office capital, and structured to generate synergies within each region, Legacy Holdings is redefining how small business succession and growth are achieved.
