America's Car-Mart Delays Annual 10-K Filing

10:33 AM EDT, 07/30/2025 (MT Newswires) -- America's Car-Mart (CRMT) said Wednesday that it was unable to file its Form 10-K for the fiscal year ended April 30 within the extension period that lapsed Tuesday.

The company said it is working to complete certain omitted disclosures that will be included in the filing "as soon as reasonably practicable." America's Car-Mart also said it has identified internal control deficiencies related to these disclosures and is evaluating the deficiencies' impact.

America's Car-Mart said it targets to file the Form 10-K as soon as possible but remains unsure of the definitive filing date. The company also said it expects to receive a non-compliance notice from Nasdaq over the delinquency but does not expect this to have an immediate effect on its listing.

Shares of America's Car-Mart were down nearly 3% in recent Wednesday trading.
