Ardagh Metal Packaging's Parent Firm Signs Recapitalization Deal With Largest Stakeholders

07:20 AM EDT, 07/28/2025 (MT Newswires) -- Ardagh Metal Packaging's ( AMBP ) parent Ardagh Group said Monday it has reached a recapitalization agreement with its largest shareholder and creditors representing about 75% of senior secured notes, over 90% of senior unsecured notes, and more than 60% of senior secured toggle notes due 2027 issued by ARD Finance.

The deal, expected to close by Sept. 30 subject to regulatory and other customary approvals, will see senior unsecured noteholders become majority owners of Ardagh Group with 92.5% equity, while senior secured toggle noteholders will hold 7.5%, according to a statement.

The transaction will not have an impact on the capital structure or public listing of Ardagh Metal Packaging ( AMBP ), which will remain a subsidiary of Ardagh Group, the company said.
