Bio Green Med Solution Enters Business Combination Agreement to Acquire Future NRG

04:37 PM EDT, 06/04/2026 (MT Newswires) -- Bio Green Med Solution ( BGMS ) said late Thursday it has entered into a business combination agreement to acquire Future NRG, a Malaysia-based technology integrator and project developer specializing in medical waste management, in an all-stock exchange transaction.

Upon completion of the share exchange, subject to approval by Bio Green and Future NRG shareholders, the combined company is expected to retain the Bio Green Med Solution ( BGMS ) name and continue trading on the Nasdaq Capital Market under the symbol "BGMS", the company said.

Pursuant to the business combination agreement, the parties plan to effect a share exchange between Bio Green and Future NRG selling shareholders, where Future NRG will become a wholly-owned subsidiary of Bio Green, the company added.

The transaction is expected to close in Q4, subject to regulatory approvals and customary closing conditions.
