Brown & Brown to Acquire Accession Holding Company in $9.83 Billion Deal

07:14 AM EDT, 06/10/2025 (MT Newswires) -- Brown & Brown ( BRO ) has agreed to acquire RSC Topco, the holding company for Accession Risk Management Group, for about $9.83 billion on a cash- and debt-free basis, the companies said Tuesday.

Accession is the parent to specialty brokerage firm Risk Strategies and insurance wholesaler and program manager One80 Intermediaries.

Following the deal's completion, the Risk Strategies team will become part of Brown & Brown's ( BRO ) retail segment. Brown & Brown ( BRO ) will combine its programs and wholesale brokerage segments into a new specialty distribution segment. One80 Intermediaries will join the operations of the new segment.

The companies expect the deal to close in Q3, subject to regulatory approvals and other conditions.

Brown & Brown ( BRO ) shares were down 1.7% in recent premarket activity.
