07:57 AM EDT, 08/05/2024 (MT Newswires) -- Burford Capital ( BUR ) said Monday that it will become a US domestic issuer, effective Jan. 1, 2025, after determining that more than 50% of its ordinary shares were held by US investors as of June 30.
Burford will no longer be classified as a "foreign private issuer" and will be required to file annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K with the US Securities and Exchange Commission, the company said.
Burford's shares will continue to be dual-listed on the New York Stock Exchange and the London Stock Exchange, the company said.
Burford shares fell 4.6% in recent premarket activity.
