Calian Group, Plantro Sign Agreement to Enhance Board Renewal

07:31 AM EST, 11/11/2025 (MT Newswires) -- Calian Group ( CLNFF ) said Tuesday it has established a temporary board committee to oversee actions related to certain non-core assets, following a co-operation agreement with Plantro, one of its largest shareholders. The committee will also include a special advisor recommended by Plantro.

The agreement with Plantro includes Calian's commitment to accelerate its ongoing board renewal, and incorporates customary standstill and non-disparagement provisions effective until Nov. 1, 2026.

The company noted that George Weber and Kevin Ford will retire from the board as previously announced. Jo-Anne Poirier has advised she will not stand for re-election at the next annual meeting.

Incoming chief executive Patrick Houston will join the board following his formal appointment on Jan. 1. A professional search firm has been engaged to assist it in the identification and assessment of potential director candidates.
