11:18 AM EDT, 08/20/2025 (MT Newswires) -- Calidi Biotherapeutics ( CLDI ) said Wednesday it priced an underwritten public offering for gross proceeds of $6 million.

The offering comprises nearly 1.5 million common stock units, with each unit containing one share and one Series I warrant to buy one share, and about 1.5 million pre-funded warrant units with one pre-funded warrant to buy one share and one Series I warrant to buy one share.

The price per common stock unit is $2, and the price per pre-funded unit is $1.999.

Underwriters were given a 45-day option to buy up to an additional 450,000 shares and/or warrants.

The offering is slated to close on or about Thursday, the company said.

Calidi shares were down nearly 41% in recent trading.
