Cintas to Acquire UniFirst in $5.5 Billion Deal

07:29 AM EDT, 03/11/2026 (MT Newswires) -- Cintas ( CTAS ) and UniFirst ( UNF ) said Wednesday the companies have entered a definitive agreement under which Cintas ( CTAS ) will acquire UniFirst ( UNF ) in a cash and stock deal valued at about $5.5 billion.

Under the agreement, the companies said UniFirst ( UNF ) shareholders will receive $155 in cash and 0.7720 Cintas ( CTAS ) shares for each UniFirst ( UNF ) share, representing a combined value of $310 per share based on Cintas' ( CTAS ) Monday closing price.

The combined company will integrate route networks, processing capacity, service infrastructure, supply chains and technology investments, according to the companies.

The boards of both companies have unanimously approved the deal and the transaction is expected to close in H2, subject to regulatory and shareholder approvals, the companies said.

Cintas ( CTAS ) shares were down 2.2% in Wednesday premarket trading, while UniFirst ( UNF ) shares were up nearly 9%.
