Cipher Mining Unit Plans $333 Million Offering of Additional Senior Secured Notes

08:15 AM EST, 11/20/2025 (MT Newswires) -- Cipher Mining ( CIFR ) said Thursday its wholly owned subsidiary Cipher Compute plans to offer $333 million in additional 7.125% senior secured notes due 2030 in a private placement to qualified institutional buyers.

The company said the notes will be issued as an add-on to the existing 7.125% senior secured notes due 2030 issued on Nov. 13.

Following the offering, Cipher Compute will have $1.73 billion of the notes outstanding, Cipher Mining ( CIFR ) said.

Net proceeds from the offering will be used to partly fund the costs of constructing additional facilities within the Barber Lake data center near Colorado City, Texas, the company said.

Shares of Cipher Mining ( CIFR ) were up more than 13% in recent Thursday premarket activity.
