04:59 PM EST, 11/13/2025 (MT Newswires) -- CyberArk Software ( CYBR ) said Thursday that its shareholders have voted in favor of the previously announced acquisition of the company by Palo Alto Networks ( PANW ) .

The acquisition is expected to close during the H2 of Palo Alto Networks' ( PANW ) fiscal 2026, subject to remaining closing conditions and regulatory approvals, CyberArk Software ( CYBR ) said.

Earlier in July, CyberArk had announced that Palo Alto Networks ( PANW ) intends to acquire the company in a cash-and-stock transaction for a per-share consideration of $45 in cash and 2.2005 shares of Palo Alto Networks ( PANW ) common stock.
