10:48 AM EDT, 06/10/2025 (MT Newswires) -- Dada Nexus ( DADA ) said Tuesday its shareholders have approved the company's previously announced proposed merger with JD.com's ( JD ) JD Sunflower Investment unit.

Under the terms of the merger, Dada Nexus ( DADA ) will become a wholly-owned unit of JD Sunflower Investment, the company said, adding that it will become a privately-held company upon merger completion.

The deal was first announced on April 1.

DADA and JD shares were down 1% and 1.1%, respectively, in recent trading.
