05:00 PM EDT, 08/18/2025 (MT Newswires) -- Digi International ( DGII ) said Monday it has acquired Jolt Software for about $145.5 million in cash, net of Jolt's cash and subject to typical closing adjustments.
Jolt, which provides compliance and operations software for the convenience store and food and beverage industries, will be integrated into its SmartSense unit, Digi ( DGII ) said.
Digi ( DGII ) added that it used its existing credit facility to fund the deal and expects the transaction to be immediately accretive to adjusted earnings per share upon closing.
The acquisition also brings potential tax benefits, including a $30 million net operating loss carryforward, subject to review, according to the company.
Digi ( DGII ) increased its fiscal Q4 guidance and now expects adjusted net income per diluted share of $0.48 to $0.52 compared with $0.47 to $0.51 expected previously. Analysts polled by FactSet expect $0.50 per share.
The company expects a fiscal Q4 revenue of $108.5 million to $112.5 million compared with $106 million to $110 million expected previously. Analysts expect $108.1 million.
