05:44 AM EDT, 09/18/2024 (MT Newswires) -- Dye & Durham ( DYNDF ) overnight Tuesday said the Ontario Superior Court of Justice found OneMove Capital's attempt to remove a director, Edward Prittie, invalid and dismissed the application.
The Court also warned that OneMove would be in breach of the investor rights agreement (IRA) if it failed to vote its shares in accordance with the IRA.
According to Dye & Durham ( DYNDF ), OneMove was part of a group of activist shareholders that had sought to gain control of the board, despite the company making "multiple" efforts to negotiate in good faith with the activist shareholders, including offering them two additional board seats.
Dye & Durham ( DYNDF ) will also reschedule the special meeting of shareholders that had been postposed because of the litigation.
