08:53 AM EST, 02/25/2025 (MT Newswires) -- Eli Lilly ( LLY ) has agreed to acquire Organovo Holdings' ( ONVO ) FXR program, including its lead asset FXR314, Organovo ( ONVO ) said Tuesday.

The consideration is an upfront payment of $10 million and potential milestone payments of up to $50 million, Organovo ( ONVO ) said, adding that Eli Lilly ( LLY ) will also assume certain liabilities related to the FXR program.

The sale is expected to close within about 30 days after the agreement was signed, Organovo ( ONVO ) said in a regulatory filing.

Organovo ( ONVO ) shares climbed by 276% in premarket trading, while Eli Lilly ( LLY ) was up 1.3%.
