07:09 AM EST, 11/20/2025 (MT Newswires) -- Eos Energy Enterprises ( EOSE ) said Thursday that it has priced an upsized $525 million offering of convertible senior notes due 2031 with an interest rate of 1.75% per year, payable semi-annually in arrears, starting June 1.
The company said it has granted the initial purchasers an option to buy up to an additional $75 million in principal amount of notes. The issuance and sale are expected to settle on Monday.
Eos said it has also priced a registered direct offering of 35.9 million shares at $12.78 per share for a limited number of purchasers.
Eos said it estimates net proceeds from the notes offering will be $507.9 million, or $580.5 million if the additional notes are fully purchased.
The company said it plans to use the proceeds from the notes and equity offerings to repurchase a portion of its outstanding 6.75% convertible senior notes due 2030, as well as for general corporate purposes.
Eos said that through a privately negotiated transactions it will repurchase $200 million in principal amount of the 2030 convertible senior notes for $564.6 million, including accrued and unpaid interest. Eos said it may repurchase additional 2030 notes after the offering is completed.
Eos Energy Enterprises ( EOSE ) shares were up more than 14% in recent Thursday premarket activity.
