03:46 PM EDT, 05/15/2024 (MT Newswires) -- ExxonMobil ( XOM ) is recommending shareholders reject any recommendations from Glass Lewis, contending the proxy advisory company has failed to disclose a possible conflict of interest through its support of a climate-activist group.
The energy company chided Glass Lewis in a regulatory filing on Wednesday, writing its support for Interfaith Center on Corporate Responsibility creates "actual or potential conflicts of interest," noting the organization has led media opposition to a legal fight between ExxonMobil ( XOM ) and climate activists trying to oust the lead independent director from the company's board next month.
Glass Lewis is listed as an affiliate member on the Interfaith Center's website, and late last week said investors should vote against re-electing Joseph Hooley as the lead director on the ExxonMobil ( XOM ) board, citing "unusual and aggressive tactics" against activist investors. The company is slated to hold its annual shareholders meeting on May 29.
