11:30 AM EDT, 05/27/2025 (MT Newswires) -- Fusion Fuel Green ( HTOO ) said Tuesday it has executed a heads of terms agreement with a United Kingdom-based fuel distribution firm to acquire 100% of its equity and some associate companies from existing shareholders.

Fusion Fuel said it plans to buy the entire share capital of the UK business for 50 million pounds ($67.6 million) in cash and shares.

The UK-based business recorded roughly $7 million in net income on revenue of $58 million for the fiscal year ended April 30, Fusion Fuel said.

Shares of Fusion Fuel were down 9.7% in recent trading.
