11:03 AM EST, 03/05/2025 (MT Newswires) -- GD Culture Group ( GDC ) said Wednesday it entered into a securities purchase agreement with an undisclosed investor for the purchase of up to 1,115,600 shares of its stock, par value $0.0001 per share, at about $0.896 per share in a private placement.

The gross proceeds are expected to be approximately $1.0 million. The transactions are expected to close on or about March 5, the company said.

Shares of GD Culture Group ( GDC ) were down nearly 7% in recent trading.
