Glass Lewis Issues Shareholders Alert on InMode Ahead of Annual Meeting

03:13 PM EDT, 03/20/2024 (MT Newswires) -- InMode ( INMD ) shareholders were issued a controversy alert by proxy advisory firm Glass Lewis ahead of the company's annual general meeting scheduled for April 1.

The firm cited interlocking board relationships, related-party transactions involving InMode Chair and Chief Executive Moshe Mizrahy, and pay practices as the basis for its alert.

Glass Lewis said the company's director nominee Nadav Kenneth, up for election at the upcoming meeting, is co-founder and chief executive of a private company where Mizrahy serves as board chair.

"InMode ( INMD ) does not proactively disclose the existence of any links between the two," the firm said.

InMode ( INMD ) is also seeking shareholder approval for executive compensation policy, including increased fixed pay limits.

The company did not immediately reply to MT Newswires' request for comment.
