11:10 AM EDT, 10/16/2025 (MT Newswires) -- Global Atomic Corporation ( GLATF ) announced Thursday that "due to significant investor demand", the company and Red Cloud Securities, as sole underwriter and bookrunner, agreed to increase the gross proceeds of its previously announced "bought deal" public offering from around C$20 million to about $35 million.
A statement noted that, pursuant to the upsized underwritten offering, Red Cloud agreed to purchase for resale about 56.45 million units of the company at a price of $0.62 each.
Each unit will be made up of one common share and one three-year warrant to buy one common share at a price of $0.80.
A statement noted that the company granted the underwriters an option, exercisable in whole or in part, at any time for a period of up to 30 days after and including the closing date, to purchase for resale at the offering price additional units equal to up to 15% of the number of units sold pursuant to the underwritten offering at the offering price to cover over allotments, if any, and for market stabilization purposes.
The company plans to use the net proceeds from the offering for the advancement of its Dasa Project and for general working capital purposes.
The company said it plans to file a prospectus supplement to its short form base shelf prospectus dated Nov. 21, 2023 in connection with the offering, with the securities regulatory authorities in each of the provinces and territories of Canada, except Quebec.
The offering is expected to close on or about Oct. 23, 2025, or on such date as agreed upon between the company and Red Cloud. The closing of the offering is subject to the company receiving all necessary regulatory approvals.
The company's shares were last seen down $0.15 to $0.55 on the Toronto Stock Exchange.
