Goodroot Announces Successful Sale of ClearFile to Lumelight
Sep 10, 2025 6:11 AM

COLLINSVILLE, Conn., Sept. 10, 2025 /PRNewswire/ -- Goodroot, a healthcare incubator focused on launching and scaling transformative solutions to lower costs and improve access, today announced the successful sale of its regulatory compliance affiliate, ClearFile, to Lumelight, a leading integrated benefits compliance provider.

Founded by industry expert Joe Boyle, ClearFile has quickly become a premier platform for simplifying regulatory operations for health plans, PBMs, TPAs, Captives, insurers and regulators. What began as an idea to ease ACA filings evolved into a scalable SaaS platform supporting a growing number of complex regulatory filings—from RxDC and Medicare Advantage to multi-state PBM and TPA licensure. ClearFile is now poised for its next chapter as part of Lumelight's expanding portfolio of regulatory solutions.

"Joe came to Goodroot with a vision to solve a problem most people avoid: regulatory complexity," said Mike Waterbury, President and CEO of Goodroot. "We backed that vision with capital, talent, and infrastructure—and in under two years, he built one of the most respected names in regulatory filing. That's what we do at Goodroot: champion healthcare leaders and accelerate ideas that can reshape the system."

From day one, ClearFile had access to Goodroot's full suite of support services—including capital, legal, technology, product, and go-to-market strategy—allowing the ClearFile team to focus entirely on innovation and execution, free from traditional start-up obstacles. That environment gave Boyle the runway to not only build the platform but also shape a broader vision for regulatory transformation.

"Regulatory compliance isn't always seen as exciting, but it's where real business risk—and opportunity—lives," said Joe Boyle, President of ClearFile and host of the Regulatory Joe podcast. "Goodroot gave me the foundation to turn a complex challenge into a scalable solution. Joining Lumelight now positions us to expand that impact even further across the healthcare industry."

Under Boyle's leadership, ClearFile has helped organizations shift from reactive to proactive compliance strategies. His Regulatory Joe podcast has become a trusted resource for translating complex mandates into actionable guidance—supporting leaders across the healthcare and insurance ecosystem as regulatory demands continue to grow.

Now part of Lumelight, ClearFile expands the organization's regulatory reach into new segments—bringing expertise in filings, licensure, and automation to complement Lumelight's core offerings. Lumelight eliminates the compliance complexities and wasteful spending involved in offering a health benefit, allowing fully- and self-insured employers, plan administrators, and brokers the freedom to focus on their core businesses.

"ClearFile strengthens our commitment to regulatory excellence and supports our ability to reduce administrative burden across the healthcare ecosystem," said Jason Hall, Chief Executive Officer at Lumelight. "Joe and his team bring not only deep domain expertise but also a fresh, forward-thinking approach to compliance—and we're excited to grow together."

"This transaction is a major win for all parties—especially for the clients who rely on ClearFile to keep pace with evolving state and federal mandates," added Waterbury. "It also validates the Goodroot model: We invest in the people and ideas that can make healthcare better—and we scale them quickly."

ClearFile will continue to operate under its existing leadership within Lumelight, with Boyle remaining President and driving continued innovation across new filing segments and regulatory markets.
