08:10 AM EDT, 05/15/2025 (MT Newswires) -- Herc Holdings ( HRI ) said Thursday that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act for its proposed acquisition of H&E Equipment Services ( HEES ) has expired.

Herc ( HRI ) also said the Securities and Exchange Commission has declared its Registration Statement on Form S-4 effective.

The company said it expects the acquisition to close by early June, subject to the majority of H&E shares being tendered into the offer and the satisfaction of customary closing conditions.
