JFB Construction Says Up to 24.9 Million Shares to Be Offered by Selling Stockholders

12:26 PM EDT, 10/14/2025 (MT Newswires) -- JFB Construction ( JFB ) said Tuesday that selling stockholders including American Ventures LLC, Series XIV JFB plan to offer up to 24.9 million common shares in the company.

JFB said it will not receive any proceeds from the share offering but could receive up to $100.3 million in gross proceeds if warrants are exercised.

Common A and Common B Warrants can each be exercised into 8.1 million common shares at $5.75 per share and $6.25 per share, respectively, the company said.

Shares of the company were down 2.2% in recent Tuesday trading.
