10:12 AM EDT, 09/30/2024 (MT Newswires) -- Kaival Brands Innovations Group ( KAVL ) and Delta Corp Holdings said Monday that a newly created holding company has confidentially submitted a draft registration statement on Form F-4 with the US Securities and Exchange Commission in connection with their proposed business combination.

Kaival and Delta Corp previously entered into a merger and share exchange agreement, under which they will become subsidiaries of the new holding company, Delta Corp Holdings.

They said Delta Corp Holdings, organized under the laws of the Cayman Islands, will become a new publicly listed holding company.
