KKR to Acquire mdf commerce in Cash

01:19 PM EDT, 03/11/2024 (MT Newswires) -- KKR (KKR) will acquire mdf commerce for about 255 million Canadian dollars ($189.2 million) in cash that will take the Canadian company private, mdf said Monday.

Shareholders of mdf will receive CA$5.80 per share, a premium of about 58% to the closing price of its shares on Toronto Stock Exchange on Friday, the company said.

The transaction is expected to close in Q2, subject to approvals from mdf shareholders and regulators.

The deal includes a termination fee of about CA$7.7 million, payable by mdf to KKR, the company said.
