KKR's Improved $6.4 Billion Acquisition Offer Accepted by Spectris Board

09:57 AM EDT, 08/05/2025 (MT Newswires) -- KKR (KKR) backed Bidco's increased acquisition offer, valuing Spectris at 4.8 billion British pounds ($6.4 billion), has been accepted by the Spectris board, the latter said Tuesday.

The company said the updated bid package includes 41.47 pounds in cash from Bidco plus a 0.28 pounds interim dividend, raising Spectris's equity value to about 4.2 billion pounds and total enterprise value, including debt, to about 4.8 billion pounds.

The Spectris board now recommends the KKR-backed proposal and has withdrawn support for Advent's 41 pounds-per-share bid, the company said.

Spectris said its shareholders are scheduled to vote on the scheme arrangement on Aug. 27, with completion expected by Q1, subject to regulatory and court approval.
