Legence Posts Q3 Net Loss, Higher Revenue; Agrees to Acquire The Bowers Group

07:28 AM EST, 11/14/2025 (MT Newswires) -- Legence ( LGN ) on Friday reported a Q3 net loss of $0.02 per diluted share.

Four analysts polled by FactSet expected net income of $0.09.

Revenue for the quarter ended Sept. 30 was $708 million, up from $560.8 million a year earlier.

Analysts surveyed by FactSet expected $638.9 million.

The company said it expects Q4 total revenue of $600 million to $630 million. Analysts surveyed by FactSet expect $609.6 million.

Legence ( LGN ) said it expects full-year 2026 total revenue of $2.65 billion to $2.85 billion. Analysts surveyed by FactSet expect $2.35 billion.

Further, Legence ( LGN ) said it entered into a definitive agreement to acquire mechanical contractor The Bowers Group for about $475 million.

The consideration consists of $325 million in cash, around $100 million of Legence's ( LGN ) class A common stock, and an additional $50 million of deferred consideration to be paid at the end of 2026 in cash or common stock, the company said.

The cash portion will be funded with a combination of cash on hand, borrowings under Legence's ( LGN ) revolving credit facility, and an anticipated $150 million upsize to its term loan facility, the company said.
