Leviathan Gold Signs Deal to Buy Copper-Uranium Explorer in Botswana

07:55 AM EDT, 09/12/2025 (MT Newswires) -- Leviathan Gold ( LVXFF ) said overnight Thursday that it signed an amalgamation agreement to acquire Cura Exploration Botswana, which owns the Kalahari copper-uranium portfolios in Botswana.

Under the terms, Leviathan's recently incorporated subsidiary 1555801 B.C. will amalgamate with Cura and all of the issued and outstanding securities of Cura will be immediately exchanged for securities of Leviathan on a one-to-one basis.

Leviathan will acquire Cura in exchange for 37 million shares and 5.5 million warrants. Each warrant can be exercised for $0.15 per share for two years.

Leviathan will also assume the obligation to pay certain milestone payments by issuing up to 16.5 million shares.

Cura has completed the acquisition of Afri Energy, AfriMetals No. 1 and AfrIMetals No.2, which are the holders of certain copper and uranium prospecting licenses in Botswana, Leviathan said.
