Combination reinforces LucyRx’s proven model of client-first prescription care, expands scale, and enhances clinical depth

BETHESDA, Md.--(BUSINESS WIRE)--

LucyRx, a fast-scaling, next-generation pharmacy benefits manager (PBM) known for simplifying and improving access to prescription care, today announced the completion of its acquisition of CerpassRx. The close marks another step in expanding LucyRx’s proven model of client-first, clinically forward prescription care. With the addition of CerpassRx, LucyRx now serves more than 1.5 million members and thousands of plan sponsors nationwide. The combination brings together CerpassRx’s cost-containment expertise with LucyRx’s Care Guides, Formulary Marketplace, and proprietary AI platform, LucyIQ. The result is expanded access to innovative programs, stronger support for clients and members, and enhanced clinical outcomes.

As part of this transition, John Nicolosi, PharmD, formerly Interim President of CerpassRx, has been appointed Chief Clinical Pharmacy Officer of LucyRx. Nicolosi, who joined CerpassRx in 2016, brings nearly 15 years of PBM leadership experience and a strong track record of clinical innovation and client service. He will oversee LucyRx’s expanding suite of clinical programs, reinforcing the company’s commitment to improving outcomes and delivering clarity in prescription care.

Integration efforts are already underway, with dedicated teams from both organizations focused on ensuring a seamless transition for clients, members, and employees.

Building a Stronger Platform for Clients and Members

Both companies share service-first values. CerpassRx adds proven cost-containment strategies and trusted client relationships. LucyRx contributes scale, innovation, and clinical depth, from its proprietary Formulary Marketplace, Connected Specialty Care Network and personalized Care Guide model. Its programs in high-impact areas such as GLP-1 therapies and women’s health improve outcomes and manage costs more effectively.

Leadership Perspectives

“This acquisition represents continued momentum for LucyRx and an important next step in expanding our patient first approach to more employers and members,” said David Blair, CEO of LucyRx. “We know what works: combining innovation, clarity, and trusted service, and this partnership allows us to deliver that at an even greater level. With John as Chief Clinical Pharmacy Officer, we are doubling down on our clinical depth and our commitment to clients and members.”

“We’re incredibly proud of the foundation CerpassRx has built under Nomi Health, and LucyRx is the right partner to carry that work forward,” said Mark Newman, CEO and Co-Founder of Nomi Health. “LucyRx shares our commitment to transparency, innovation, and putting people first. We’re confident this next chapter will create long-term value for clients, members, and the market as a whole.”

“For our clients, this combination means continuity and more,” said Susan Thomas, Chief Commercial Officer of LucyRx. “They’ll keep the trusted teams and service they rely on, while gaining access to LucyRx’s broader platform, from specialty care to innovative clinical programs, that makes prescription care more transparent, more affordable, and more impactful.”

“I’m honored to take on this role and continue serving our clients and members in partnership with LucyRx,” said John Nicolosi, PharmD, Chief Clinical Pharmacy Officer of LucyRx. “I have seen firsthand how the right PBM partner makes a difference. Together, we will build on that foundation, putting people first and delivering not only savings but better outcomes and peace of mind for the employees and families who rely on us.”

Value for Clients and Members

No disruption: Current account teams, ID cards, and support channels remain unchanged.

Enhanced clinical support and smarter savings: LucyRx’s Care Guides and expanded clinical programs complement CerpassRx’s cost-containment model.

Proven momentum: Builds on LucyRx’s track record of lowering costs, improving access, and delivering outcomes for clients nationwide.
