MasterBrand, American Woodmark to Combine in All-Stock Deal; Shares Rise

10:06 AM EDT, 08/06/2025 (MT Newswires) -- MasterBrand ( MBC ) and American Woodmark ( AMWD ) said Wednesday they plan to merge in an all-stock deal valued at $3.6 billion.

Under the terms, American Woodmark ( AMWD ) shareholders will receive 5.150 shares of MasterBrand ( MBC ) for each share they own, the companies said.

MasterBrand ( MBC ) stockholders will own about 63% of the combined company following the deal, while American Woodmark ( AMWD ) shareholders will own the rest, the companies said.

The merger, expected to close in early 2026, is expected to achieve about $90 million in cost savings after three years and to be accretive to adjusted diluted EPS in year two after the close, according to a statement

MasterBrand ( MBC ) shares were 5.9% higher in recent trading, while American Woodmark ( AMWD ) was up 10.2%.
