Purgo Holdings, LLC is acquiring Puroflux Corporation from Montage Partners

SIMI VALLEY, Calif., Sept. 10, 2025 /PRNewswire/ -- Montage Partners, a people-first private equity firm based in Scottsdale, Arizona, announced the sale of Puroflux Corporation ("Puroflux" or the "Company"), a designer and manufacturer of industrial and commercial water filtration and control systems, to Purgo Holdings, LLC ("Purgo"), a portfolio company of Wincove Private Holdings. Puroflux will continue to operate under its strong, standalone brand within Purgo's water platform.

Founded in 1994 and headquartered in Simi Valley, California, Puroflux provides separators, permanent media filters, disc filters, pump packages, and UL 508A industrial control panels used across HVAC, industrial, and commercial applications.

Montage Partners invested in Puroflux in 2018 to facilitate the founder's retirement and implement a thoughtful succession plan to the next generation of leadership, who co-invested alongside Montage. Montage was drawn to Puroflux's reputation for high-quality systems and its strong distribution footprint, and was energized by the opportunity to support the management team as they stepped into their new roles.

During Montage's ownership, Puroflux achieved substantial growth in both revenue and EBITDA. Together with management, Montage supported the development of the Company's first formal strategic plan, laying the groundwork to expand international distribution while preserving the culture and brand that have defined Puroflux for three decades. Montage Accelerate, Montage's program providing targeted operating resources, analytical tools, and a curated advisor network to portfolio companies, supported these initiatives.

"Montage was critical in helping me step into the role of President," said Dennis Jamison, President of Puroflux. "They helped us establish systems and financial oversight that gave our executive team the data to make smart, quick decisions. Crucially, they struck the right balance—supportive yet hands-off, letting us run the company. We're excited to build on that foundation with Purgo, scale our international reach, and continue serving customers under the Puroflux brand."

Purgo's acquisition reflects Puroflux's very strong brand position in HVAC water filtration and the opportunity to leverage Purgo's international network to accelerate global distribution. The combination also enables cross-selling of complementary products and the creation of centers of excellence in manufacturing and vendor relations—while maintaining Puroflux's brand identity that customers and representatives trust.

"We valued our partnership with Dennis, Kevin [Carter, VP of Engineering], and Neil [Diorio, Controller], and the entire Puroflux team," said Cole Jackson, Senior Vice President, Portfolio Acceleration at Montage Partners. "There was a strong foundation of trust that made the partnership and winning together enjoyable. We're confident Purgo is a great home for the next chapter of Puroflux's continued growth."

Janney Montgomery Scott served as financial advisor and Osborn Maledon served as legal counsel to Puroflux.
