04:28 PM EST, 01/17/2025 (MT Newswires) -- N2OFF ( NITO ) filed a prospectus with the US Securities and Exchange Commission on Friday for the resale of up to 53.1 million common shares by selling shareholders from time to time.

The prospectus includes up to 1.7 million shares, up to 4.5 million shares issuable on exercise of pre-funded warrants, and up to 46.9 million shares issuable on exercise of common warrants, according to the company.

N2OFF ( NITO ) said it will not receive any proceeds from the sale of shares and proceeds from the exercise of warrants will be used for general corporate purposes.

N2OFF ( NITO ) shares fell 4.5% in after-hours trading.
