05:15 PM EDT, 07/07/2025 (MT Newswires) -- NetCapital ( NCPL ) closed a registered direct offering of shares and a concurrent private placement of warrants to raise up to $9.9 million.

The offering included 714,286 shares priced at $7 each, and a placement of an equal number of unregistered short-term warrants with an exercise price of $6.88 a share, the company said Monday in a statement.

Gross proceeds of $5 million from the share sale and up to $4.9 million from the warrants, if fully exercised, will be to repay outstanding promissory notes and for general corporate purposes.

NetCapital ( NCPL ) shares fell 2.9% in after-hours trading.
