Netcapital Plans Up to $5.9 Million Direct Offering; Shares Fall

02:18 PM EDT, 07/16/2025 (MT Newswires) -- Netcapital ( NCPL ) said Wednesday it priced a registered direct offering of about 641,712 common shares at $4.675 each for gross proceeds of roughly $3 million, priced at-the-market.

The company announced that, in a simultaneous private offering, it will provide unregistered short-term warrants allowing the purchase of up to 641,712 common shares at $4.55 each, which could yield additional gross proceeds of $2.9 million.

The offering is expected to close on or about Thursday.

Net proceeds from the offering will be used for the repayment of certain outstanding promissory notes and for general working capital purposes, the company said.

Netcapital ( NCPL ) shares were down more than 27% in recent trading.
