NewGenIvf Files for Sale of 50 Million Shares by Existing Investors

11:10 AM EDT, 09/16/2025 (MT Newswires) -- NewGenIvf Group ( NIVF ) filed a statement Tuesday to register 50 million class A common shares for resale by existing stockholders from time to time.

The maximum number of class A common shares to be sold by the selling holder, White Lion Capital VI, is 20 million. The remaining 30 million shares are issuable to holder JAK Opportunities upon the conversion of outstanding additional notes and the exercise of warrants to buy class A shares, the company said.

The company said it could receive gross proceeds of up to $500 million from the sale of shares to White Lion in accordance with a purchase agreement, as well as proceeds from the conversion of additional notes and warrants, which will be used for general corporate purposes.
