PagerDuty Names New Board Member in Cooperation With Scalar Gauge Fund

11:12 AM EDT, 04/28/2025 (MT Newswires) -- PagerDuty ( PD ) said Monday it has entered into a cooperation agreement with Scalar Gauge Fund to appoint a new independent director to its board.

As part of the deal, Donald Carty has been named to the board, effective immediately, bringing the total number of directors to 10, the company said.

Carty will serve as a Class I director until the company's 2026 annual meeting and will join the audit committee. Under the terms of the deal, Scalar Gauge has agreed to "customary" standstill provisions and voting commitments, the company said.
