08:04 AM EDT, 06/27/2025 (MT Newswires) -- Peraso ( PRSO ) confirmed Friday that Mobix Labs ( MOBX ) has made an unsolicited, non-binding offer to acquire the company in an all-stock deal worth about $1.20 per share.

Peraso ( PRSO ) said, however, that certain information in Mobix's ( MOBX ) offer on Thursday were "potentially inaccurate."

The company said, for example, that it remains in compliance with Nasdaq's continued listing requirements under the stockholders' equity alternative and does not need to meet a $35 million market value threshold, contrary to Mobix's ( MOBX ) claim.

Peraso ( PRSO ) said its board is reviewing the proposal and there is no assurance that any transaction will be completed.

Peraso ( PRSO ) shares were up 1.7% in premarket trading, while Mobix ( MOBX ) was up about 1%.
