Performance Food Declines US Foods' Request for Information on Potential Merger

02:01 PM EDT, 08/13/2025 (MT Newswires) -- Performance Food Group ( PFGC ) has declined a request from US Foods ( USFD ) to share information related to a potential business combination, Chief Executive George Holm said on the company's fiscal Q4 earnings call Wednesday.

Holm said the board determined that there was "no basis to engage" after US Foods ( USFD ) approached Performance Food ( PFGC ) to explore regulatory considerations and potential synergies.

He said the company is well-positioned to spur growth and any transaction would need to meet high standards for "value, speed and certainty of completion," while factoring in regulatory, synergy, and integration risks.

Holm reaffirmed the company's three-year plan and said strong momentum across all segments supports long-term value creation.

US Foods ( USFD ) didn't immediately reply to a request for comment from MT Newswires.
