Predictive Discovery to Acquire Robex Resources in All-Share Deal

07:35 AM EDT, 10/06/2025 (MT Newswires) -- Australia-listed Predictive Discovery overnight Sunday agreed to buy all of the issued and outstanding shares in Robex Resources ( RSRBF ) , which is trading shy of 52-week highs in Canada.

The combined company will remain listed on the Australian Securities Exchange (ASX) and will apply to list Predictive's ordinary shares on the TSX Venture Exchange (TSXV). Robex shareholders will receive 8.667 PDI shares for each Robex share held immediately prior to the effective time of the deal.

Predictive Discovery expects to issue about 2.12 billion of its shares to Robex shareholders, based on the Robex shares outstanding, as of Sunday. It may also issue up to about 497 million additional shares subject to conversion of any Robex convertible securities into Robex shares prior to the effective time.

Existing Predictive Discovery shareholders and former Robex shareholders will own about 51% and 49%, respectively, of the combined company on a fully diluted in-the-money basis, on completion of the deal. The combined company which is expected to close in December 2025 or early 2026, will be led by a combined board and management team.

Andrew Pardey will act as the non-executive chairman of the combined company and Robex CEO and managing director Matthew Wilcox, will lead as its CEO and managing director.

"By combining two of West Africa's largest and most advanced gold development projects and leveraging the proven track record of both management teams in Africa, we are creating a company that positions Guinea to become one of Africa's top five gold producers," said Predictive Discovery's chief executive officer Pardey. "The new, diversified company will not only further de-risk our flagship Bankan Project, but also deliver enduring value for shareholders, the communities where we operate and Guinea as a whole."

The companies said the Cohen Group and Eglinton Mining, two of Robex's largest shareholders that together own about 25.2% of the issued and outstanding shares, have agreed to vote in favor of the deal at the Robex meeting

Shares of the company closed up 1% to $4.01 on Friday on the TSXV.
