11:18 AM EST, 02/24/2025 (MT Newswires) -- QYOU Media ( QYOUF ) on Monday said its Chatterbox Technologies unit filed a draft red herring prospectus on the SME Platform of the BSE Limited, formerly known as the Bombay Stock Exchange.
Chatterbox is an influencer and marketing platform agency in India.
The initial public offering of up to 3.7-million shares will have a final issue price determined through the book building process.
QYOU Media ( QYOUF ) also announced a non-brokered private placement offering of up to 50-million units at $0.04 per unit for proceeds of up to $2 million, with an ultimate maximum of 57.5-million units for proceeds of $2.3 million. Each unit consists of share and three quarters of a two-year warrant to buy a second share for $0.06.
The company plans to use proceeds from the offering to support its expenses related to the transaction and for legal, accounting and consulting fees along with final earnout payments from the original acquisition of Chatterbox due to founding investors.
Shares of the company were last seen flat at $0.04 on the TSX Venture Exchange.
