Sapiens International to Be Acquired by Advent for $2.5 Billion

04:15 AM EDT, 08/13/2025 (MT Newswires) -- Sapiens International ( SPNS ) said Wednesday it has signed a deal to be acquired by private equity investor Advent in an all-cash transaction for $43.50 per common share, or about $2.5 billion.

The acquisition will enhance digital transformation in the insurance technology industry through Sapiens' technology and Advent's operational expertise, the company said.

Upon deal completion, expected in Q4 or Q1 next year, Sapiens' common shares will stop trading publicly and it will become a private entity, it said.

Sapiens shareholder Formula Systems will retain a minority ownership in the firm.

Shares of Sapiens were up more than 40% in premarket activity.
