12:29 PM EDT, 08/13/2025 (MT Newswires) -- Scilex ( SCLX ) shares rose more than 16% in recent Wednesday trading after the company said the registration statement related to the proposed business combination of its Semnur Pharmaceuticals subsidiary and special purpose acquisition company Denali Capital Acquisition has been declared effective by the US Securities and Exchange Commission.

Denali will hold a shareholder meeting on Sept. 3 to vote on the proposed business combination, which is expected to close "as soon as reasonably practicable," Scilex ( SCLX ) said.

The combined company will be named Semnur Pharmaceuticals post-closing and has filed for listing of its stock and warrants on the Nasdaq, Scilex ( SCLX ) added.
