09:39 AM EDT, 06/21/2024 (MT Newswires) -- Sharecare ( SHCR ) said Friday it has entered into a definitive agreement to be acquired by an affiliate of Altaris.

Under the terms of the deal, Sharecare ( SHCR ) stockholders will receive $1.43 in cash per share, representing a premium of about 85% over the closing price of Sharecare ( SHCR ) on June 20.

Upon completion of the acquisition, expected in H2, Sharecare ( SHCR ) will become a privately-held company and its common stock will cease being listed on the Nasdaq stock exchange, the company said.
