12:35 PM EDT, 08/18/2025 (MT Newswires) -- Sitio Royalties ( STR ) stockholders approved the $4.1 billion all-stock acquisition by Viper Energy ( VNOM ) , which includes $1.1 billion in debt.
The transaction is expected to close Tuesday with Sitio class A common stock suspended from trading on the New York Stock Exchange before the market opens. Viper is a subsidiary of Diamondback Energy ( FANG ) .
Sitio Class A stockholders will receive 0.4855 shares of Class A common stock in a new Viper holding company for each Sitio share held. Unitholders in Sitio Royalties Operating Partnership will receive 0.4855 common units in Viper Energy Partners, along with 0.4855 shares of Class B common stock in New Viper for each Sitio Opco unit owned.
Sitio said Monday that Class C common stock will be canceled.
Sitio shares fell 0.6% in recent Monday trading, Viper dropped 0.9%, and Diamondback declined 0.5%.
