04:41 AM EDT, 06/17/2025 (MT Newswires) -- Southwest Gas ( SWX ) said Monday that it priced an underwritten secondary public offering of about 9.8 million common shares of Centuri ( CTRI ) at $20.75 per share, upsized from 9.5 million shares.

The company also granted the underwriters a 30-day option to buy up to an additional about 1.5 million common shares of Centuri ( CTRI ). The offering is expected to close on Wednesday.

Southwest Gas ( SWX ) also agreed to sell $22 million of Centuri's ( CTRI ) common shares to Icahn Partners and Icahn Partners Master Fund in a concurrent private placement at the same offering price per share.

The private placement is subject to the completion of the offering and will terminate if it is not completed by July 9.

Centuri ( CTRI ) said it is not directly selling any shares in the offering or the private placement, and will not receive any of the sale proceeds.
