04:40 PM EDT, 06/16/2025 (MT Newswires) -- Centuri ( CTRI ) shareholder Southwest Gas ( SWX ) said late Monday it has launched an underwritten secondary public offering of 9.5 million Centuri ( CTRI ) shares.

Southwest Gas ( SWX ) said it plans to offer underwriters a 30-day overallotment option to buy up an additional 1.4 million shares.

In a concurrent private placement, Southwest Gas ( SWX ) will also sell $22 million of Centuri ( CTRI ) shares to Icahn Partners and Icahn Partners Master Fund at the offering price.

The private placement will terminate without the sale of any shares if not closed by July 9, the company added.

Centuri ( CTRI ) shares were down 5% in after-hours activity.
